Why a generic broker gets it wrong

Cannabis transactions are different

Selling a licensed cannabis business is not a traditional Main Street transaction. Licensing, change-of-control approvals, leases, capitalization, financial normalization, Section 280E, ownership rules and industry-specific diligence can materially affect how a deal is structured and whether it closes at all. Bud Brokers coordinates the commercial M&A process while working alongside each party's legal, tax, accounting, regulatory and real estate professionals.

A generic business broker sees a retail store. We see a license with transfer conditions, a true-party-of-interest map the regulator will read line by line, a lease that may be the location that is the license, a tax position no other industry carries, and a buyer pool of maybe a few dozen serious parties in your state. Each of those decides the price. Each of those decides whether the deal survives approval.

Bud Authority has spent years inside dispensary operations: menus, POS data, local search demand, customer economics, compliance calendars. That is the operating context a buyer's diligence team will test, and it is the context we bring to your side of the table before a single buyer hears your name.

The result is a process that looks like institutional M&A and reads like someone who has stood behind a dispensary counter. Confidential from the first call. Structured around your state's approval gate. Closed by people who already know how the business runs.

Bud Brokers is the cannabis M&A advisory and business brokerage service line of Bud Authority, the cannabis search and revenue agency. It advises licensed dispensary, cultivation, processing, delivery and brand operators on confidential sell-side transactions, buy-side acquisitions, dispensary valuation, license transfer and change-of-control coordination, and exit planning. Active transactions, seller identities, financials and diligence materials stay private and controlled; only the service is public.

Why Bud Brokers

Why Bud Brokers

Operator context

We know what a dispensary's numbers should look like because we have watched hundreds of them move. A buyer's quality-of-earnings team will not find something we did not already see.

Bud Authority client base

Search-proven market position

Your CIM carries measured local search share, map-pack visibility and traffic trend, not adjectives. Buyers pay for demand they can verify.

Sentinel local-search intelligence

A buyer network, not a mailing list

Operators, MSOs, regional groups and cannabis capital who have asked to see confidential opportunities and been approved to receive them.

NDA-gated, criteria-matched

Regulator-first structuring

Every timeline starts from your state's change-of-ownership path. We build the deal around the approval gate rather than pretending it will be fast.

Coordinated with your regulatory counsel

Confidential from the beginning

Confidential from the beginning

Public
The service. This page. Nothing that identifies a seller.
Anonymous teaser
A blind one-page summary of the opportunity, sent to targeted buyers before any NDA.
NDA plus approval
Executed NDA, internal approval and proof of funds before a buyer sees the CIM.
Permissioned data room
Per-deal access, watermarked documents where practical, revocable immediately.
Disclosure
Seller identity, exact address, license numbers and financials only when you authorize it, in writing.

How the process works

Eight gates. One closing.

  1. Step 01

    Confidential consultation and seller intake

A private conversation about the business, your goals, timing and constraints. No documents required. We tell you honestly whether and how we can help, and what your state's transfer path means for the timeline.

    Gate: mutual fit

  2. Step 02

    Financial review and transaction strategy

Reconciled financials, a preliminary valuation range, the likely buyer universe in your state, and a written strategy for structure, timing, real estate and confidentiality.

    Gate: engagement agreement

  3. Step 03

    Anonymous teaser and marketing materials

A blind teaser that describes the opportunity without identifying it, and a CIM prepared for approved buyers. You approve both before anyone sees them.

Gate: your approval of every word

  4. Step 04

    Qualified buyer outreach and NDA

Direct, discreet contact with a targeted list of operators and capital. Buyers who respond sign an NDA and demonstrate financial capability before receiving anything more.

Gate: executed NDA plus proof of funds

  5. Step 05

    CIM access and management meetings

Approved buyers receive the CIM in a permissioned data room. Management meetings and site visits are scheduled to protect confidentiality with staff, customers and the landlord.

    Gate: approved buyer only

  6. Step 06

    LOI negotiation and buyer selection

Offers modeled on a common basis. Structure, contingencies, approval condition, timing and terms negotiated. One buyer selected; exclusivity granted deliberately, not by default.

    Gate: signed LOI

  7. Step 07

    Diligence, regulatory coordination and documents

One request list, one data room, one timeline. Change-of-ownership filings, background reviews, landlord consents and financing conditions tracked alongside the purchase agreement your counsel negotiates.

    Gate: definitive agreement plus filings

  8. Step 08

    Closing

Approval lands, the closing checklist executes, funds transfer, transition begins. Any success fee is paid through the closing process, never before.

    Gate: regulator approval, funds wired

Full detail on every gate lives on the process page. Fee terms are private: Engagements are structured based on transaction size, complexity, jurisdiction and scope. Sell-side engagements may include a success fee payable upon completion of a transaction.

Questions operators ask

Straight answers

6 answered

01Is Bud Brokers a dispensary-for-sale listing site?
No. Bud Brokers is a confidential advisory service. We never publish listings, addresses, license numbers or financials. Opportunities are shared only with approved buyers under NDA inside a permissioned environment. Public service, private transactions.
02How much does Bud Brokers charge?
Engagements are structured based on transaction size, complexity, jurisdiction and scope. Sell-side engagements may include a success fee payable upon completion of a transaction. Fees are discussed privately and documented in the applicable engagement agreement.
03Can Bud Brokers sell my business in any state?
Services and transaction structures vary by jurisdiction, and licensed-industry transfers carry state-specific rules. We confirm what applies to your state and license type in the first conversation and coordinate with your regulatory counsel before any transaction is marketed.
04Will my staff or landlord find out?
Not from us, and not until you decide. Your business is described anonymously in a teaser. Identifying information moves only after an executed NDA, approval and proof of funds, and site visits and management meetings are scheduled to protect confidentiality.
05I already have a buyer. Can you help?
Yes. A direct mandate with an identified buyer is one of the most common engagements: we handle valuation, structure, negotiation, diligence and the approval timeline so the offer on the table becomes the deal that closes.
06Do you buy cannabis businesses yourselves?
Bud Brokers is an advisory service and represents one side of any transaction. Where an affiliated party ever has an interest in a deal, that interest is disclosed in writing and we step out of the advisory role for that transaction.

Two doors

Tell us what you operate. Nothing sensitive required.

Sellers get a private conversation, not a listing. Buyers get reviewed, NDA-gated, criteria-matched deal flow.
