1. Services Description
BudAuthority provides digital marketing, SEO optimization, and related services ("Services") for cannabis industry clients. Services include but are not limited to: - Search engine optimization - Local SEO and GBP management - Content strategy and creation - Technical SEO optimization - Answer engine optimization - Web design and development - Performance reporting and analytics - Strategic consulting
Specific services are detailed in individual engagement proposals and statements of work.
2. Engagement Model
Engagement Phases:
- Reconnaissance: Initial audit and strategic assessment - Architecture: Strategy development and planning - Deployment: Implementation and execution - Escalation: Ongoing monitoring and optimization
Contract Terms:
- No minimum contract requirements beyond initial engagement - Month-to-month continuation after initial engagement period - Either party may terminate with 30 days written notice - Termination does not absolve payment obligations for completed work
Payment Terms:
- Invoices due within 30 days of receipt - Late payments accrue interest at per month - Suspension of services permitted for non-payment after 15 days - Payment processing via invoice, ACH, credit card, or wire transfer

4. Responsibilities and Obligations
BudAuthority Responsibilities:
- Deliver services with professional competence and care - Provide monthly performance reporting and transparency - Maintain confidentiality of client information - Comply with applicable laws and regulations - Implement reasonable security measures for client data
Client Responsibilities:
- Provide accurate business and website information - Grant necessary access to website, GBP, analytics, and accounts - Provide timely feedback and approval on deliverables - Maintain compliance with applicable laws and regulations - Ensure content provided complies with regulations and intellectual property rights
5. Intellectual Property Rights
Work Product Ownership:
- BudAuthority retains ownership of proprietary tools, methodologies, and platforms (INTERCEPTOR, HYDRA, VELOCITY) - Client receives non-exclusive license to use custom content, strategies, and reports produced during engagement - Pre-existing materials, templates, and processes remain BudAuthority property - Client owns original content created specifically for client's use (copy, images, etc.)
License Grant:
- BudAuthority grants limited, non-exclusive license to use deliverables for client's own business purposes - License does not include sublicensing, reselling, or transfer rights - License terminates upon engagement termination
Third-Party Content:
- Client responsible for ensuring all content provided does not infringe third-party rights - Client indemnifies BudAuthority against claims related to client-provided content
6. Warranties and Disclaimers
Service Guarantees:
- BudAuthority warrants professional delivery of services according to industry standards - BudAuthority does not guarantee specific ranking positions, traffic levels, or revenue results - Search engine algorithms change; rankings fluctuate independently of service quality - No guarantee of first-page ranking or specific ranking duration
AS-IS DISCLAIMER:
Website and online services provided "as-is" without warranties of merchantability, fitness for particular purpose, or non-infringement. We disclaim all implied warranties to the fullest extent permitted by law.
7. Limitation of Liability
Limitation of Damages:
- BudAuthority's total liability for any claim shall not exceed fees paid in the 12 months preceding the claim - In no event shall BudAuthority be liable for indirect, incidental, consequential, special, or punitive damages - This limitation applies regardless of the cause of action or theory of liability
Excluded Damages:
- Lost profits, loss of revenue, loss of business opportunity, lost data - Damages arising from use of services, reliance on results, or business decisions made based on SEO performance
8. Indemnification
By Client:
Client indemnifies BudAuthority against claims, damages, and costs (including attorney fees) arising from: - Client-provided content or materials - Client's violation of laws or regulations - Client's breach of these Terms - Client's use of Services in violation of this agreement
By BudAuthority:
BudAuthority indemnifies Client against claims arising from: - BudAuthority's violation of third-party intellectual property rights - BudAuthority's breach of confidentiality obligations - BudAuthority's gross negligence or willful misconduct
9. Confidentiality
Confidential Information:
- BudAuthority maintains confidentiality of client business information, strategy, and performance data - Client maintains confidentiality of BudAuthority methodologies, tools, and proprietary systems - Exceptions: information publicly available, legally required disclosure, or approved in writing
Term:
Confidentiality obligations continue for after engagement termination.
10. Compliance and Legal Matters
Cannabis Compliance:
- BudAuthority operates only in jurisdictions with legal cannabis framework - BudAuthority provides marketing services, not legal compliance advice - Client remains responsible for all regulatory compliance - Client responsible for accuracy of claims about products, licenses, and regulatory status
Changes in Law:
- BudAuthority cannot guarantee services remain compliant if laws or regulations change - BudAuthority will adapt services to legal changes; additional fees may apply - Client responsible for monitoring regulatory changes affecting business
11. Termination
Termination Rights:
- Either party may terminate with 30 days written notice - BudAuthority may terminate for Client non-payment after 15-day notice - BudAuthority may terminate if Client requests use of proprietary tools unethically or illegally
Effect of Termination:
- Client remains liable for services rendered and expenses incurred - Work in progress transitions to Client as-is within 10 business days - Proprietary tools and systems remain BudAuthority property - Non-compete and confidentiality obligations survive termination
12. Dispute Resolution
Governing Law:
These Terms are governed by the laws of , without regard to conflict of law principles.
Arbitration:
Any dispute arising from or relating to these Terms shall be resolved through binding arbitration, not litigation. Arbitration conducted in under .
Exceptions:

14. Severability and Waiver
If any provision of these Terms is found unenforceable, remaining provisions continue in effect. Waiver of any provision or breach does not constitute waiver of future compliance or other provisions.
15. Entire Agreement
These Terms, together with the Privacy Policy and any engagement proposal, constitute the entire agreement regarding Services. Previous agreements, understandings, or negotiations are superseded.
