How a cannabis brand is valued
On distribution and velocity: how many doors carry the brand, how fast it sells per door, the contribution margin after manufacturing and distribution, repeat rate where it can be measured, trademark and trade dress position, and whether the license and manufacturing behind the brand come with it. A brand with organic search and social demand a buyer can measure trades at a premium.

Trademark position matters more in cannabis than in almost any other consumer category because federal registration is limited and state-by-state protection is uneven. A brand with clean state registrations, defensible trade dress and no pending disputes is worth materially more than one with a great logo and an open cease-and-desist.
Selling with or without the license
A brand-only sale transfers the trademark, product IP, formulations, channel relationships and customer data, with manufacturing continuing under a supply or licensing agreement. A brand-plus-license sale transfers the manufacturing or cultivation license too and runs through change-of-control approval. A multi-state licensing deal grants the brand to licensed operators in new states for royalties. Each has a different buyer, timeline and tax profile.
Brand-only transactions close faster because they do not wait for the regulator, but the buyer will insist on a manufacturing arrangement they can rely on. Brand-plus-license deals release the full value of an integrated operation but inherit every timeline and diligence item a cultivation or processing sale carries.
